General Terms of Sale (Sweden)

These general terms of sale govern every sale of factory-built accommodation units by Lodgeyard, a brand of REXOR GROUP LLC, to campsites, cabin villages and other businesses established in Sweden. They are attached to every quote and form part of the contract when the quote is signed.

Version 2.0 of 25 October 2026. This version replaces version 1.1 of 24 October 2026. A Swedish version is available at /se/juridiskt/kopvillkor; Article 25 states which version prevails.

Please note in particular

The following provisions limit or allocate rights and risks in a way that may differ from the rules that would otherwise apply. The Buyer is asked to read them with special care before signing a Quote:

Article 1. Identity of the Seller and scope of application

1.1 These general terms of sale (the "Terms") are issued by REXOR GROUP LLC, a limited liability company registered in the State of New Mexico, United States of America, whose registered address is 8206 Louisiana Blvd NE, Ste A #9493, Albuquerque, NM 87113, USA, and which offers its products under the brand Lodgeyard (Lodgeyard, a brand of REXOR GROUP LLC, hereinafter the "Seller"). The Seller may be contacted by email at contact@lodgeyard.com.

1.2 These Terms apply to every sale by the Seller of prefabricated accommodation units to an undertaking or other organisation that is established in Sweden and acquires the units for the purposes of its business activity (the "Buyer"), in particular campsites, cabin villages, glamping sites and similar tourism and accommodation businesses.

1.3 These Terms do not apply to consumers. The Seller does not conclude contracts with consumers on the basis of these Terms. By signing a Quote, the Buyer confirms that it acquires the Units for the purposes of its business activity and not for personal, family or household use.

1.4 These Terms apply to the exclusion of any other general terms, including the Buyer's general terms of purchase, which do not apply unless the Seller has accepted them in writing. The performance of an order by the Seller does not constitute acceptance of the Buyer's general terms.

1.5 These Terms are published on the Website in English and in Swedish, in a form that allows them to be stored and reproduced. They are also attached, as a document that can be stored and printed, to every Quote, before the Quote is signed.

1.6 These Terms do not govern the Installation Contract, which is governed by the terms agreed between the Buyer and the Installation Partner.

1.7 Any reference to Lodgeyard in the Quote, in an invoice or in any other document relating to the Contract is a reference to the Seller, REXOR GROUP LLC.

1.8 These Terms apply where the Delivery Place is in Sweden. Sales with a delivery place in another country are governed by the terms of sale applicable to that country.

Article 2. Definitions and interpretation

2.1 In these Terms, the following terms have the meanings given below:

2.2 In these Terms, unless the context requires otherwise: (a) headings are for convenience only and do not affect interpretation; (b) the words "including" and "in particular" introduce examples and do not limit the general words that precede them; (c) words in the singular include the plural and vice versa; (d) a reference to a statute, regulation or other legal instrument is a reference to it as amended or replaced from time to time; (e) a reference to an Article is a reference to an Article of these Terms; (f) "days" means calendar days.

2.3 A period expressed in days begins on the day following the event that triggers it. If the last day of a period is not a Business Day, the period expires on the next Business Day.

2.4 The trade term "DAP" is interpreted in accordance with Incoterms® 2020 published by the International Chamber of Commerce. In the event of a conflict between Incoterms® 2020 and these Terms, these Terms prevail.

2.5 A reference to a document annexed to the Quote is a reference to that document in the version annexed to the Quote at the time the Quote is signed, as amended where applicable in accordance with Article 7.9.

2.6 Where these Terms provide that a matter is stated in the Quote and the Quote does not state it, the rule laid down in these Terms or, failing that, the applicable law applies.

2.7 The consent or acceptance of the Seller required by these Terms must be given in writing by a person authorised to represent the Seller. The chat window of the Website and its automated replies have no authority to make, accept or amend any commitment on behalf of the Seller.

Article 3. Nature of the sale and allocation of roles

3.1 The Units are sold as movable property (lös egendom). They are finished at the factory, can be dismantled and can be moved.

3.2 The Seller performs no work on the Buyer's land or premises. In particular, the Seller does not carry out any foundations, supports, anchoring, assembly, unfolding, connection or commissioning.

3.3 Such work is carried out by undertakings that the Buyer chooses and with which it contracts directly, including the Installation Partner named in the Quote (Article 4). The Seller does not design, direct or coordinate that work.

3.4 The Buyer is the developer (byggherre) within the meaning of the Planning and Building Act (plan- och bygglagen (2010:900)) for any construction measure relating to the Units and is responsible, in that capacity, for ensuring that such measures comply with the applicable rules.

3.5 Within the Contract, the Seller: (a) reviews the Buyer's project on the basis of the information provided by the Buyer; (b) selects the Manufacturer; (c) sells the Units delivered to the Delivery Place; (d) has each Unit inspected by an Independent Inspection before Factory Departure; (e) keeps the Buyer informed of the progress of manufacture, inspection, carriage and Delivery, including by photographs; (f) provides the Installation Partner with the Drawings and the Manufacturer's Instructions needed for the Installation; and (g) is responsible towards the Buyer for the conformity of the Units with the Contract, in accordance with Articles 16 to 18.

3.6 The provision of documents and information under Article 3.5(f) does not constitute the design, direction or coordination of the Installation.

3.7 The Seller sells the Units in its own name and for its own account. It does not act as agent of the Buyer or of the Manufacturer.

3.8 The review of the project referred to in Article 3.5(a) is based on the information provided by the Buyer. It does not constitute a design of the works on site, an assessment of the permits required or advice on the Buyer's obligations as developer.

Article 4. Turnkey price and installation

4.1 The Quote states a total turnkey price, which is the sum of the following three components, each of which is shown separately in the Quote:

  1. the Price of the Units delivered to the Delivery Place, invoiced by the Seller;
  2. the estimated customs duties and the estimated cost of the customs representative, paid by the Buyer in its capacity as importer; import value added tax is stated separately;
  3. the price of the Installation, as announced by the Installation Partner.

4.2 The amounts referred to in Article 4.1(b) are estimates. The customs duties, taxes and charges actually due on importation are those assessed by the customs authority, and the cost of the customs representative is that agreed between the Buyer and that representative.

4.3 The Installation comprises unloading, placing on supports without permanent anchoring, unfolding, connection to the existing connection points of the site and commissioning. The Installation Partner carries out the Installation and invoices it directly to the Buyer, at the price stated in the Seller's Quote. The Installation Partner is solely responsible for the Installation, in accordance with the Installation Contract that it concludes directly with the Buyer.

4.4 The Installation Partner is an undertaking independent of the Seller, approved for F-tax (godkänd för F-skatt) and insured for the work. Electrical installation work is carried out by an electrical installation undertaking registered with the Swedish National Electrical Safety Board (Elsäkerhetsverket), and the electrical installation is checked before it is taken into use.

4.5 The scope of the Installation and the conditions on which it is based (access, ground, existing connection points and distances) are set out in the Installation Annex. If the conditions found on site differ from those described, the Installation Partner issues a supplementary quote to the Buyer before any work is carried out.

4.6 The price of the Installation included in the Turnkey Price is the price that the Installation Partner has announced for the conditions described in the Installation Annex. The Installation Partner invoices it with the value added tax that applies to its services.

4.7 The Seller does not perform, direct or coordinate the Installation and receives no payment for it. The Buyer remains free to entrust the Installation to another undertaking.

4.8 A defect in, or delay of, the Installation is not a defect in, or delay of, the Units and does not entitle the Buyer to withhold any amount due to the Seller.

4.9 The Seller provides the Installation Partner with the Buyer's contact details only after the Buyer has accepted the Quote.

4.10 The Buyer can verify the F-tax approval of the Installation Partner with the Swedish Tax Agency (Skatteverket) and the registration of the electrical installation undertaking in the register kept by Elsäkerhetsverket.

4.11 As developer (byggherre), the Buyer is responsible for the building permit (bygglov), the start notice (startbesked) and the final notice (slutbesked), as well as for engaging a certified control officer (kontrollansvarig) where required.

Article 5. Manufacturer

5.1 The Seller is not the manufacturer of the Units. The Manufacturer is designated in the Quote. Its name appears on the rating plate of each Unit and in its documentation.

5.2 At the Buyer's request, the Seller communicates without delay the Manufacturer's full corporate name and address.

5.3 The Units are manufactured in accordance with the Drawings approved by the Buyer.

5.4 Without prejudice to the Manufacturer's written warranties referred to in Article 17.6, the Buyer's contractual counterparty for the Units is the Seller. The Buyer addresses its notices concerning the Units to the Seller and is not required to make claims against the Manufacturer.

Article 6. Contract documents and order of precedence

6.1 The Contract consists of the following documents, which apply in the following order of precedence:

  1. the accepted Quote and its annexes, namely the Technical Sheet, the Drawings, the Payment Schedule, the Installation Annex and, where applicable, the Manufacturer's written warranties;
  2. these Terms;
  3. the Manufacturer's Instructions.

6.2 In the event of a conflict between these documents, the document higher in the list prevails over the document lower in the list, but only to the extent of the conflict.

6.3 Images on the Website and in brochures are not binding. Only the Technical Sheet and the Drawings annexed to the Quote are binding as regards the characteristics of the Units.

6.4 Information given on the Website, in brochures, in correspondence before the Quote or in the automated replies in the chat window of the Website is provided for information. The characteristics of the Units are those confirmed, specified or corrected in the Technical Sheet and the Drawings annexed to the Quote.

6.5 The Installation Contract is not part of the Contract.

6.6 Special conditions expressly agreed in the Quote prevail over these Terms.

Article 7. Quote, formation of the Contract and Deposit

7.1 The Seller issues a written and itemised Quote. The Quote states in particular the Turnkey Price and its components, the Delivery Place, the Estimated Delivery Date and the estimated timetable, the permitted snow load of the roof for the municipality of the site, the Payment Schedule and the period of validity of the Quote.

7.2 These Terms are attached to the Quote before it is signed. The Buyer accepts them by signing the Quote, which contains a statement to that effect. The Quote may be signed by hand or electronically.

7.3 The provisions listed at the beginning of these Terms under the heading "Please note in particular" are brought to the Buyer's particular attention before it signs the Quote, both on the Website and in the document attached to the Quote.

7.4 The order becomes binding when the Buyer has signed the Quote and the Seller has received the Deposit in accordance with the Payment Schedule.

7.5 The Deposit is part of the Price. It does not give either Party a right to withdraw from the Contract.

7.6 The Buyer provides the Seller with accurate and complete information on its project and on the site, in particular access for the truck and crane, the ground, the existing connection points and the distances, so that the Quote and the Installation Annex can be prepared.

7.7 On signing the Quote, the Buyer approves the Drawings, which form the basis of manufacture.

7.8 If the Quote is not signed within its period of validity, it lapses. The Seller may then issue a new Quote, which may state different prices and dates.

7.9 A change requested by the Buyer after the order has become binding, in particular a change of model, equipment or Delivery Place, requires a written amendment accepted by both Parties. The amendment states its effect, if any, on the Price, the Payment Schedule and the Estimated Delivery Date.

7.10 If the information provided under Article 7.6 proves to be incorrect or incomplete, the Quote and the Installation Annex are adjusted in accordance with Article 7.9 and, for the Installation, Article 4.5.

Article 8. Prices, currency, invoicing and taxes

8.1 Prices are stated exclusive of value added tax, in the currency stated in the Quote (euro or Swedish krona), for Delivery under the trade term DAP (Incoterms® 2020) at the Delivery Place stated in the Quote.

8.2 The Price does not include customs duties, import value added tax, other taxes and charges due on importation, or any work on site.

8.3 The Seller invoices without Swedish value added tax. The carriage of the Units begins outside the European Union and the Buyer, as importer, is liable for the import value added tax. The Seller's sale is therefore not a supply within Sweden under the Swedish Value Added Tax Act (mervärdesskattelagen (2023:200)).

8.4 The Seller issues a Pro Forma Invoice for each instalment of the Price and a commercial invoice for the purposes of the customs formalities (Article 13.5).

8.5 Prices shown on the Website, in particular prices shown as starting prices, are indicative. The binding price is the price stated in the Quote.

8.6 Each instalment of the Price is stated and payable in the currency of the Quote.

Article 9. Payment terms and payment security

9.1 Unless the Quote provides otherwise, the Price is payable as follows:

  1. 40 % on order, as the Deposit;
  2. the balance before Factory Departure, on receipt of the Inspection Report.

9.2 The balance is payable only once the Independent Inspection has been passed. Non-conformities identified by the Independent Inspection are remedied before Factory Departure.

9.3 The Seller organises the Independent Inspection and sends the Inspection Report, with photographs, to the Buyer. The Seller may also have the loading supervised, in particular as regards the number of Units, their condition, their lashing and the seal numbers.

9.4 Payment is made only by bank transfer to the account stated on the Seller's Pro Forma Invoice. As beneficiary, the Buyer enters exactly the name of the account holder: REXOR GROUP LLC.

9.5 The Buyer must never pay to bank details received by any other means. If in doubt, the Buyer contacts the Seller before making the payment. The Seller does not communicate bank details through the chat window of the Website.

9.6 A payment is made when the amount is credited to the Seller's account. Each Party bears the charges levied by its own bank.

9.7 The Seller may suspend manufacture or shipment for as long as an instalment that has fallen due remains unpaid. The Estimated Delivery Date is then postponed by the duration of the suspension.

9.8 The Seller never asks for a payment to an account held in a name other than REXOR GROUP LLC. Any such request must be treated as fraudulent and reported to the Seller.

9.9 Payment of the balance after receipt of the Inspection Report does not constitute a waiver by the Buyer of its rights under Articles 16 and 17. The Independent Inspection does not relieve the Seller of its responsibility for the conformity of the Units.

9.10 The Buyer states the number of the Quote and of the Pro Forma Invoice as the payment reference.

9.11 Article 4.8 applies: a defect in, or delay of, the Installation does not entitle the Buyer to withhold any amount due to the Seller.

Article 10. Late payment

10.1 In the event of late payment, the Seller is entitled, from the due date and without any reminder, to interest on late payment in accordance with section 6 of the Interest Act (räntelagen (1975:635)), that is, at the reference rate set by the Swedish central bank (Sveriges riksbank) for each calendar half-year under section 9 of that Act, plus eight percentage points.

10.2 The Seller is also entitled to the late payment compensation (förseningsersättning) of 450 Swedish kronor provided for in section 4 a of the Act on Compensation for Debt Collection Costs (lag (1981:739) om ersättning för inkassokostnader m.m.).

10.3 Compensation for reminder letters and debt collection measures is due in accordance with that Act, to the extent that it exceeds the late payment compensation.

10.4 Where the Price is stated in euro, interest on late payment is calculated on the amount due in euro. The late payment compensation is due in Swedish kronor.

10.5 Payments received after the due date are applied first to the late payment compensation and collection costs, then to interest, and then to the principal amount due.

10.6 This Article does not affect the Seller's right to damages or its rights under Articles 9.7 and 14 and under the CISG.

Article 11. Cancellation by the Buyer

11.1 If the Buyer cancels its order (avbeställning) or refuses to take delivery, the Seller may, at its option, either maintain the Contract and require payment of the Price, including for Units manufactured specially for the Buyer, or terminate the Contract by notice to the Buyer.

11.2 If the Seller terminates the Contract, the Buyer pays the Seller, as fixed compensation for the costs incurred that cannot be recovered:

  1. 10 % of the Price excluding value added tax, if the cancellation is notified before the Seller has placed its order with the Manufacturer;
  2. the Seller's documented costs that cannot be recovered, including the advance paid to the Manufacturer, up to an amount equal to the Deposit, if the cancellation is notified after the order has been placed with the Manufacturer but before Factory Departure;
  3. 100 % of the Price excluding value added tax, if the cancellation is notified after Factory Departure, less the net price that the Seller obtains on a resale and the costs that the Seller saves.

11.3 The compensation is set off against the amounts already paid by the Buyer. Any amount paid in excess of the compensation is refunded to the Buyer.

11.4 The Buyer may always show that the Seller's loss is manifestly lower than the compensation; in that case, the compensation is reduced accordingly.

11.5 The refusal or delay of a building permit, a shoreline protection exemption (strandskyddsdispens), a fire safety approval, an operating permit or any other administrative authorisation does not entitle the Buyer to terminate the Contract without compensation. The Buyer therefore checks these matters before signing the Quote (Article 15).

11.6 The Seller sends the Buyer a written statement of the compensation and of the amounts set off. Any balance in favour of either Party is paid within 30 days of that statement.

11.7 A cancellation must be notified in writing in accordance with Article 24. The time of the cancellation for the purposes of Article 11.2 is the time at which the notice reaches the Seller.

11.8 Where the Buyer fails to take delivery, the Seller takes reasonable steps to preserve the Units at the Buyer's expense, in accordance with Articles 85 and 87 of the CISG.

Article 12. Delivery, transfer of risk and delay

12.1 Delivery takes place under the trade term DAP (Incoterms® 2020) at the Delivery Place stated in the Quote. A Unit is delivered when it is placed at the Buyer's disposal on the arriving means of transport at the Delivery Place, ready for unloading.

12.2 Unloading, lifting, placing on the supports and all subsequent work are carried out at the Buyer's expense and risk, by the installer that the Buyer has engaged.

12.3 The risk passes to the Buyer on Delivery, even if ownership has not yet passed to the Buyer. The Buyer insures each Unit from that moment, including against damage occurring during unloading, lifting and installation.

12.4 The Buyer ensures that the truck and the crane can reach the Delivery Place, taking into account width, bearing capacity, gradient, obstacles and overhead power lines.

12.5 A delivery protocol is drawn up at Delivery. It records the Delivery of a finished Unit and is not a final inspection of construction work. The signature of the delivery protocol without reservations does not affect the Buyer's right to notify a lack of conformity that was not apparent at Delivery, in accordance with Article 16.3.

12.6 Delivery dates are estimated. If Delivery takes place more than 30 days after the Estimated Delivery Date, for a reason that is not attributable to the Buyer or to an Impediment under Article 19, the Buyer is entitled to delay compensation (förseningsvite).

12.7 The delay compensation amounts to 0.5 % of the Price excluding value added tax of the Units delivered late, for each full week of delay beyond those 30 days, and may not exceed 5 % of that price.

12.8 The delay compensation is the sole compensation for the delay, without prejudice to Articles 12.10 and 18.4. The Seller pays it within 30 days of Delivery, upon written claim by the Buyer.

12.9 If Delivery has not taken place 60 days after the Estimated Delivery Date, the Buyer may fix in writing an additional period of 15 days for Delivery. If Delivery does not take place within that additional period, the Buyer may terminate the order in writing and obtain the refund of the amounts it has paid, with interest in accordance with the applicable law.

12.10 Article 12.8 does not restrict the Buyer's right to terminate under Article 12.9 or under Article 19.4.

12.11 Units may be delivered in several consignments. Articles 12.6 to 12.9 then apply separately to the Units delivered late.

12.12 The Seller agrees the expected time of arrival at the Delivery Place with the Buyer, so that the Buyer can arrange for unloading. If the Buyer is not ready to take delivery at the agreed time, or if the Delivery Place cannot be reached under the conditions of Article 12.4, the resulting costs, in particular waiting time, additional transport and storage, may be claimed from the Buyer.

12.13 Unless the Quote provides otherwise, the Units are carried by sea, normally via the port of Gothenburg, and then by road to the Delivery Place. The Seller chooses the route, the carriers and the forwarders.

12.14 Where the Quote provides for the Delivery of several Units, the Estimated Delivery Date may be stated for each Unit or for each consignment.

12.15 The Buyer, or a person authorised by it, is present at Delivery to receive the Units and sign the delivery protocol. The Buyer informs the Seller in advance of the name of that person.

12.16 If Delivery is postponed at the Buyer's request, the Estimated Delivery Date is postponed accordingly, Articles 12.6 to 12.9 apply by reference to the new date, and the storage and other additional costs resulting from the postponement are borne by the Buyer.

Article 13. Importation and customs

13.1 The Buyer is the importer of the Units. The customs declaration for release for free circulation is made in the Buyer's name, directly or through the customs representative (tullombud) that the Buyer appoints, and never in the Seller's name.

13.2 The Buyer pays the customs duties, import value added tax and any other taxes and charges due on importation.

13.3 As importer, the Buyer also assumes the obligations that the law attaches to that capacity, in particular the obligation to ensure that the electrical equipment meets the applicable safety requirements. The Seller provides the documents that the Buyer needs for that purpose (Article 20).

13.4 Before Factory Departure, the Buyer sends the Seller its EORI number and its value added tax registration number.

13.5 If the Seller suggests a customs representative, that representative acts in the name and on behalf of the Buyer. The Seller provides the information required for the customs formalities: a commercial invoice stating separately the price of the Units, the freight up to the European Union and the costs thereafter, a packing list, the origin and the material composition.

13.6 The Seller requires the Manufacturer to state, on the rating plate and in the documents, the name and address of the economic operator established in the European Union that it has designated under Regulation (EU) 2019/1020 on market surveillance and compliance of products and Regulation (EU) 2023/988 on general product safety, where those regulations require such an operator.

13.7 Information on customs duties and import value added tax published on the Website is general information. The tariff classification of the Units, the applicable rate of duty and the taxes due are determined by the customs authority on importation. Under the rules in force on the date of these Terms, a Buyer registered for value added tax in Sweden accounts for the import value added tax in its value added tax return; in other cases, the customs authority levies it.

13.8 The Buyer bears the consequences of incorrect, incomplete or late information that it provides for the customs formalities, in particular as regards its EORI number and its value added tax registration number.

13.9 The Seller does not act as customs representative of the Buyer and makes no customs declaration on its behalf.

Article 14. Retention of title

14.1 The Units remain the property of the Seller until the Price has been paid in full, including interest and costs.

14.2 Until then, the Buyer may not resell the Units, pledge them or attach them permanently to the ground, and must keep them insured against damage from Delivery.

14.3 If the Buyer does not pay on time, and payment has not been received eight days after a written reminder, the Seller is entitled to terminate the sale and take back the Units at the Buyer's expense, even if they are already in the Buyer's possession.

14.4 Repossession takes place with the Buyer's consent or after a decision of a court or of the Swedish Enforcement Authority (Kronofogdemyndigheten). The Units can be detached from their supports without being damaged.

14.5 Until full payment, the Buyer informs the Seller without delay of any attachment, seizure or other measure by a third party concerning the Units.

14.6 Where the Price has been paid in full before Delivery, Articles 14.2 to 14.5 do not apply.

14.7 If the Quote provides that any payment is to be made after Delivery, the Act on Instalment Sales between Traders (lag (1978:599) om avbetalningsköp mellan näringsidkare m.fl.) applies to repossession and prevails over this Article.

14.8 This Article applies to the extent permitted by Swedish property law, which governs the effects of the retention of title in respect of Units located in Sweden.

Article 15. Siting, permits and use

15.1 The Units are designed to be placed on supports without permanent anchoring, so that they can be dismantled and moved, in accordance with the Manufacturer's Instructions.

15.2 Before signing the Quote, and then throughout the operation of the Units, the Buyer is responsible for the rules that apply at the site, in particular:

15.3 The Buyer is also responsible for the design of the supports, for having the connections made by qualified undertakings and for having the electrical installation checked before it is taken into use.

15.4 The permitted snow load of the roof for the Buyer's municipality is stated in the Quote. If the roof does not withstand the snow load applicable at the Buyer's site, the Quote says so. The Buyer checks that the snow load stated corresponds to the location of the site.

15.5 Permanent anchoring, modifications and placing that do not follow the Manufacturer's Instructions are carried out at the Buyer's sole responsibility.

15.6 The Buyer maintains the Units in accordance with the Manufacturer's Instructions, including the periodic checks that they recommend.

15.7 Information on Swedish rules published on the Website is general information that reflects the rules applicable on the date indicated there. It does not replace the decisions of the municipality or of any other competent authority.

15.8 The Seller provides the drawings and technical documentation that the building permit application requires for the Units (Article 20.2). The preparation of the application, its submission and its follow-up remain the Buyer's responsibility.

Article 16. Examination on delivery and notice of non-conformity

16.1 The Buyer examines each Unit at Delivery.

16.2 The Buyer records any reservations concerning missing parts, transport damage and visible defects on the consignment note or in the delivery protocol, if possible with photographs, and confirms them in writing to the Seller and to the carrier within three Business Days.

16.3 The Buyer must notify any other lack of conformity to the Seller in writing, describing the nature of the lack of conformity and enclosing photographs, within 30 days of discovering it and no later than 24 months after Delivery. If it fails to do so, the Buyer loses the right to rely on the lack of conformity.

16.4 This Article determines the form and time limits of the examination and of the notices, including for the purposes of section 5 of the Act on the Law Applicable to International Sales of Goods (lag (1964:528) om tillämplig lag beträffande internationella köp av lösa saker).

16.5 The Seller may not rely on Articles 16.2 and 16.3 if the lack of conformity relates to facts of which it knew or could not have been unaware and which it did not disclose to the Buyer (Article 40 of the CISG).

16.6 A notice of lack of conformity sent in writing to the address referred to in Article 24.2 takes effect on dispatch, in accordance with Article 27 of the CISG.

16.7 Notwithstanding the 30-day period in Article 16.3, if the Buyer has a reasonable excuse for its failure to give notice within that period, it may reduce the price in accordance with Article 50 of the CISG or claim damages, except for loss of profit, provided that it has given notice no later than 24 months after Delivery (Article 44 of the CISG).

16.8 On request, the Buyer gives the Seller, or an expert appointed by the Seller, access to the Unit concerned so that the lack of conformity notified can be examined.

16.9 Damage that occurred before Delivery, including transport damage, is a lack of conformity for which the Seller is responsible under Article 17, provided that the Buyer has made the reservations and given the notices provided for in this Article.

16.10 Where possible, a notice of lack of conformity identifies the Unit concerned by the data on its rating plate and states the reference of the Quote.

Article 17. Conformity, warranty and remedies

17.1 The Seller warrants that each Unit conforms to the Technical Sheet and the Drawings annexed to the Quote.

17.2 If the Buyer has notified a lack of conformity in accordance with Article 16, the Seller may choose between remedying the lack of conformity, replacing the defective component and granting a price reduction corresponding to the lack of conformity.

17.3 The Buyer nevertheless retains the right to declare the Contract avoided if the lack of conformity amounts to a fundamental breach of contract within the meaning of Article 49 of the CISG, and to claim damages within the limits of Article 18.

17.4 The Buyer addresses its notices to the Seller. The Seller handles any claim against the Manufacturer; the Buyer is not required to make a claim against the Manufacturer itself.

17.5 The Seller is not liable for a lack of conformity to the extent that it results from: (a) the Installation or other work carried out on site by third parties; (b) placing, anchoring, modification, use or care that does not follow the Manufacturer's Instructions; (c) normal wear and tear; or (d) damage occurring after the risk has passed to the Buyer that is not due to a breach of the Seller's obligations.

17.6 In addition, the Manufacturer's written warranties apply. They are annexed to the Quote, item by item, and the Seller enforces them together with the Buyer.

17.7 Repair or replacement is carried out within a reasonable time and without causing the Buyer unreasonable inconvenience. Components replaced become the property of the Seller.

17.8 The Manufacturer's written warranties are in addition to the Seller's obligations under this Article and do not limit them.

17.9 If the Buyer declares the Contract avoided under Article 17.3, it returns the Units concerned substantially in the condition in which it received them, subject to the exceptions in Article 82 of the CISG, and the Seller refunds the Price paid for those Units.

17.10 This Article does not restrict any right that the Buyer has under mandatory law.

Article 18. Limitation of liability

18.1 The Seller's total liability in respect of an order, on whatever basis, is limited to the Price excluding value added tax of the Units concerned.

18.2 The Seller does not compensate Indirect Loss.

18.3 Indirect Loss means in particular loss of or reduction in turnover, lost bookings, a lost season, and any other loss resulting from the Units not being able to be used as intended, as well as the other losses defined as indirect loss in section 67 of the Sale of Goods Act, namely loss resulting from a reduction in or loss of production or turnover, other loss resulting from the goods not being usable as intended, loss of profit resulting from a contract with a third party lapsing or not being properly performed, and other similar loss, if it was difficult to foresee.

18.4 The limitations in this Article and in Article 12.8 do not apply in the event of intent or gross negligence on the part of the Seller or of any person for whom the Seller is responsible, in the event of personal injury, or where mandatory law prevents them, including the Product Liability Act (produktansvarslagen (1992:18)).

18.5 The refund of amounts paid by the Buyer following a termination of the Contract is not damages and is not counted towards the limit in Article 18.1.

18.6 The Party relying on a breach of contract takes such measures as are reasonable in the circumstances to mitigate the loss (Article 77 of the CISG). If it fails to do so, the damages may be reduced by the amount by which the loss should have been mitigated.

18.7 Where several Units are affected by the same event, the limit in Article 18.1 is calculated on the Price of all the Units concerned.

Article 19. Impediments beyond control (force majeure)

19.1 Neither Party is liable for a delay or a failure to perform that is due to an impediment beyond its control within the meaning of Article 79 of the CISG.

19.2 Provided that the conditions of that Article are met, such impediments include in particular closures of ports, interruptions of sea transport, customs or health measures, epidemics and natural disasters, as well as war, hostilities, measures taken by public authorities and general labour disputes.

19.3 The Party affected gives notice to the other Party of the impediment and its effect on its ability to perform within a reasonable time after it knew or ought to have known of the impediment (Article 79(4) of the CISG).

19.4 If the impediment lasts for more than 90 days, either Party may terminate the order. The amounts paid are then refunded, after deduction of documented costs that cannot be recovered.

19.5 Where a Party's failure is due to the failure of a third party whom it has engaged to perform the whole or a part of the Contract, that Party is exempt from liability only if the conditions of Article 79(2) of the CISG are met.

19.6 The exemption has effect for the period during which the impediment exists. Dates and periods under the Contract are extended accordingly.

19.7 Where an impediment affects only some of the Units, the right of termination under Article 19.4 may be limited to the Units affected.

19.8 For as long as the impediment lasts, the Parties consult each other in order to limit its consequences.

Article 20. Documentation of the Units

20.1 Each Unit is delivered with:

20.2 On request, the Seller provides the technical documents needed for the building permit, for the check of the electrical installation and for the Buyer's insurer: drawings, single-line diagram, list of components, available fire classifications and the permitted snow load of the roof.

20.3 If a document listed in Article 20.1 is missing at Delivery, the Buyer notes it in accordance with Article 16.2 and the Seller provides it without delay.

Article 21. Intellectual property in documents

21.1 The Drawings, the Technical Sheet, the Quote and the other documents provided by the Seller remain the property of the Seller, of the Manufacturer or of their respective licensors, as the case may be, and are protected by intellectual property law.

21.2 The Buyer may use and reproduce these documents for the purposes of its project, in particular for permit applications, the Installation, insurance, operation, maintenance and any subsequent sale of the Units, and may provide them to the authorities, undertakings and advisers involved for those purposes.

21.3 The Buyer may pass the documents on to a subsequent purchaser of the Units, who may use them on the same conditions.

21.4 No other right is granted to the Buyer. The Buyer may not use these documents to have units manufactured by a third party.

Article 22. Personal data

22.1 The Seller processes personal data relating to the Buyer's contact persons in accordance with its privacy policy.

22.2 Where the Buyer provides the Seller with personal data relating to its staff or to third parties, such as the person who receives the Units on Delivery, the Buyer informs those persons of that processing.

22.3 The Seller provides personal data to the Installation Partner, to carriers and to the customs representative only to the extent necessary for the performance of the Contract and of the Installation.

22.4 Each Party complies with the data protection rules that apply to it.

Article 23. Transfer of the Contract and subcontracting

23.1 Neither Party may transfer the Contract as a whole to a third party without the prior written consent of the other Party.

23.2 To perform the Contract, the Seller uses in particular the Manufacturer, carriers, forwarders and inspectors. The Seller remains responsible towards the Buyer for the performance of its own obligations under the Contract, subject to Article 19.

23.3 The Installation Partner is not a subcontractor of the Seller. It acts under the Installation Contract, which it concludes directly with the Buyer.

Article 24. Notices and communications

24.1 Notices under the Contract, in particular cancellation, termination, reservations, notices of lack of conformity, claims for delay compensation and the fixing of an additional period, must be given in writing.

24.2 Notices to the Seller are sent by email to contact@lodgeyard.com or by letter to 8206 Louisiana Blvd NE, Ste A #9493, Albuquerque, NM 87113, USA. Notices to the Buyer are sent to the email address and postal address stated in the Quote.

24.3 Subject to Article 16.6, a notice takes effect when it reaches the recipient.

24.4 Messages exchanged through the chat window of the Website do not constitute notices under the Contract.

24.5 Each Party informs the other in writing without delay of any change in its contact details.

24.6 Operational communications, such as scheduling, progress reports and photographs, may be exchanged by email or by any other means agreed between the Parties.

24.7 A notice sent by email is deemed to reach the recipient when it becomes available in the recipient's mailbox at the address referred to in Article 24.2.

24.8 A notice to the Seller states, where possible, the reference of the Quote concerned.

Article 25. Language

25.1 These Terms are drawn up in English and in Swedish. Both versions are published on the Website.

25.2 In the event of a discrepancy between the English version and the Swedish version, the English version prevails.

25.3 The Quote may be drawn up in English, in Swedish or in both languages. Where it is drawn up in both languages, the English version prevails, unless the Quote expressly provides otherwise.

25.4 A translation into any other language is provided for information only.

25.5 The Parties may communicate in English or in Swedish.

25.6 The language of the Swedish courts is Swedish (section 10 of the Language Act, språklagen (2009:600)). In proceedings, documents drawn up in English may therefore have to be translated.

25.7 The Swedish version has been drawn up to correspond to the English version. The Buyer may at any time ask the Seller to clarify a provision in either version.

Article 26. Entire agreement, amendments and waiver

26.1 The Contract constitutes the entire agreement between the Parties concerning the sale of the Units. It supersedes all prior negotiations, proposals and statements relating to that sale, subject to Article 6.4.

26.2 Article 26.1 does not limit or exclude liability for fraud or for statements made contrary to good faith.

26.3 Any amendment to the Contract must be made in writing and accepted by both Parties.

26.4 A failure or delay by a Party in exercising a right under the Contract does not constitute a waiver of that right. A waiver is valid only if made in writing.

26.5 Each Party bears its own costs relating to the negotiation and conclusion of the Contract.

26.6 The Quote and any amendment may be signed in separate copies and exchanged electronically. A scanned copy or an electronically signed copy has the same effect as an original.

26.7 The Contract does not create any partnership, joint venture or agency relationship between the Parties.

26.8 The provisions which by their nature are intended to continue after the end of the Contract, including Articles 14, 16 to 18, 21, 22, 29 and 30, continue to apply.

Article 27. Severability and adjustment of terms

27.1 If a provision of the Contract is held to be invalid or unenforceable, or is adjusted or disregarded under section 36 of the Contracts Act (lag (1915:218) om avtal och andra rättshandlingar på förmögenhetsrättens område), the other provisions remain in force.

27.2 In that case, the Parties negotiate in good faith to replace the provision concerned with a valid provision that comes as close as possible to its purpose, within the limits of the applicable law.

27.3 The Seller has sought to set the compensation, time limits and limitations in these Terms at a moderate level, having regard to the nature of the Units, the payment arrangements and the allocation of the Installation to a separate contract. Nothing in these Terms prevents a court from examining a term under section 36 of the Contracts Act.

27.4 The list under the heading "Please note in particular" draws attention to certain provisions. It does not affect the binding effect of the other provisions of these Terms.

Article 28. Versions of these Terms

28.1 The version of these Terms that applies to a Contract is the version attached to the Quote signed by the Buyer.

28.2 The Seller may amend these Terms at any time. An amended version applies only to Quotes issued after its publication and does not affect Contracts already concluded.

28.3 Each version is identified by its number and its date. The current version is published on the Website. Earlier versions are available from the Seller on request.

Article 29. Governing law

29.1 The Contract is governed by Swedish law, including the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 11 April 1980), which applies as law in Sweden under the Act on International Sales (lag (1987:822) om internationella köp).

29.2 Questions that the Convention does not settle are governed by Swedish law in other respects.

29.3 The Convention applies to the Contract under its Article 1(1). The Seller's place of business is not in a Nordic State; the declaration made by Sweden under Article 94 of the Convention therefore does not apply to the Contract.

29.4 Questions concerning the validity of the Contract or of any of its terms are governed by Swedish law, including the Contracts Act (Article 4(a) of the Convention).

29.5 Where the Sale of Goods Act applies, its provisions apply only to the extent that the Contract does not provide otherwise, in accordance with section 3 of that Act. The provisions of the Contract that depart from it, including Articles 11.1 and 18, are agreed with that effect.

Article 30. Disputes and jurisdiction

30.1 Disputes concerning the formation, performance or termination of the Contract are settled exclusively by the Swedish general courts, with the Gothenburg District Court (Göteborgs tingsrätt) as the court of first instance.

30.2 The Seller may nevertheless apply to the Swedish Enforcement Authority (Kronofogdemyndigheten) for an order to pay (betalningsföreläggande) or for summary enforcement (handräckning).

30.3 Before bringing proceedings, each Party endeavours to settle the dispute amicably by written notice to the other Party. This Article does not prevent a Party from bringing proceedings to preserve a right or a time limit, or from applying for interim measures.

30.4 Nothing in this Article prevents the Parties from agreeing in writing, after a dispute has arisen, to refer it to mediation or arbitration.

30.5 Article 30.1 constitutes an agreement conferring jurisdiction within the meaning of Article 25 of Regulation (EU) No 1215/2012 of the European Parliament and of the Council on jurisdiction and the recognition and enforcement of judgments in civil and commercial matters.
